We have advised:

• EON on the privatisation of two Romanian electricity distribution companies, Electrica Moldova SA and Electrica Oltenia SA and on their acquisition of Electrica Moldova SA
• Advent International and a consortium of investors on the syndicated financing of the acquisition, by public takeover, of Terapia SA (a leading pharmaceuticals company) and its recent refinancing. This was the first public to private leveraged buyout in Romania
• the Municipality of Bucharest and the International Finance Corporation on the privatisation of RGAB, the supplier of water and sewerage services in Bucharest. This was the first major municipal infrastructure project under the new concession law in Romania and was one of the first project financings

• Nestlé on its acquisition of JOE International Business Company
• the Municipality of Constanta on the privatisation of the water and sewerage system of Constanta
• Advent International and Jupiter Asset Management on the sale, by way of tender, of their majority interest in a Romanian brewing group to Austrian Breweries International. This €160 million transaction was one of the first exits by an investment fund in Romania
• Société Générale on its acquisition of Banca Romana de Dezvoltare (the Romanian Bank for Development). This was the first bank privatisation in Romania. We also advised Société Générale on a number of post privatisation restructuring issues
